DrillingMetrics Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DrillingMetrics website, mobile applications, dashboards, APIs, analytics, artificial intelligence features, and related services (collectively, the "Services") provided by DrillingMetrics LLC ("DrillingMetrics," "we," "us," or "our").
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you are authorized to do so.
If your organization has a separate written agreement with DrillingMetrics, that agreement controls to the extent it conflicts with these Terms.
1. Accounts and Authorized Use
You must be legally able to enter into a binding agreement and be authorized to use the Services.
You are responsible for safeguarding your credentials and for activity occurring through your account. You must promptly notify DrillingMetrics of suspected unauthorized access.
Accounts provided through an employer or customer organization may be administered, suspended, or terminated by that organization.
2. License
Subject to these Terms and any applicable customer agreement, DrillingMetrics grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services for authorized business purposes.
No ownership rights in DrillingMetrics software, documentation, analytics, models, interfaces, or other intellectual property are transferred to you.
3. Acceptable Use
You may not:
- Access data, accounts, or systems without authorization.
- Share credentials or access mechanisms with unauthorized persons.
- Circumvent authentication, access controls, or security measures.
- Reverse engineer, decompile, or attempt to derive source code except where prohibited by law.
- Copy, resell, sublicense, or commercially redistribute the Services without written authorization.
- Perform vulnerability, penetration, stress, or similar testing without written authorization.
- Introduce malicious code or interfere with the availability or operation of the Services.
- Use the Services in violation of law or the rights of another person or organization.
- Use the Services or their output to build a substantially competing service through unauthorized extraction, copying, or automated harvesting.
4. Customer Data
Customers and authorized users retain their rights in data submitted to the Services, including drilling, well, operational, technical, and business information ("Customer Data").
You represent that you have the right to provide Customer Data to DrillingMetrics.
You grant DrillingMetrics the limited rights necessary to host, process, transmit, analyze, display, back up, and otherwise use Customer Data to provide, maintain, secure, support, and improve the Services.
DrillingMetrics does not acquire ownership of Customer Data merely because it is processed through the Services.
5. Aggregated and De-Identified Information
DrillingMetrics may generate aggregated or de-identified information from use of the Services where that information does not reasonably identify a customer, user, well, rig, or other source.
DrillingMetrics may use such information to operate, secure, evaluate, and improve its products and services, subject to applicable customer agreements and law.
6. Professional and Operational Use
DrillingMetrics is a decision-support and analytics platform intended for professional users.
Information provided through the Services, including calculations, alerts, analytics, recommendations, and AI-generated output, may be incomplete, delayed, or inaccurate.
The Services do not replace qualified engineering judgment, field supervision, well-control procedures, safety requirements, regulatory obligations, or customer operating procedures.
You remain responsible for evaluating information before using it in operational, engineering, safety, financial, or other consequential decisions.
7. Artificial Intelligence Features
Some features may use artificial intelligence, machine learning, or automated analysis.
AI-generated output may contain errors or unsupported conclusions. You must independently review such output before relying on it for consequential decisions.
DrillingMetrics does not warrant that AI-generated output is accurate, complete, current, or suitable for a particular operation.
8. Service Availability and Suspension
The Services may be modified, interrupted, restricted, or unavailable from time to time because of maintenance, upgrades, infrastructure failures, security concerns, third-party outages, or other causes.
DrillingMetrics may suspend or restrict access when reasonably necessary to protect the Services, customers, users, or data; address violations of these Terms; comply with law; or address nonpayment under an applicable agreement.
9. Intellectual Property
DrillingMetrics and its licensors retain all rights in the Services, including software, interfaces, documentation, designs, analytics methods, algorithms, models, trademarks, and other proprietary materials.
All rights not expressly granted are reserved.
If you provide feedback or suggestions regarding the Services, DrillingMetrics may use that feedback without restriction or compensation, provided that doing so does not grant DrillingMetrics ownership of Customer Data or confidential information.
10. Third-Party Services
The Services may rely on or integrate with third-party infrastructure, data sources, software, APIs, authentication systems, or other services.
DrillingMetrics is not responsible for failures or acts of independent third-party providers that are outside its reasonable control.
11. Privacy
Our handling of personal information is described in the DrillingMetrics Privacy Policy.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
DRILLINGMETRICS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND COMPLETENESS.
DRILLINGMETRICS DOES NOT WARRANT THAT THE SERVICES OR ANY DATA, ANALYSIS, CALCULATION, ALERT, RECOMMENDATION, OR AI-GENERATED OUTPUT WILL BE ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR A PARTICULAR OPERATIONAL DECISION.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRILLINGMETRICS AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, PRODUCTION, BUSINESS, OR USE.
THIS EXCLUSION INCLUDES, WITHOUT LIMITATION, CLAIMS RELATING TO OPERATIONAL DELAYS, NON-PRODUCTIVE TIME, EQUIPMENT DAMAGE, WELL DAMAGE, BUSINESS INTERRUPTION, OR DECISIONS MADE IN RELIANCE ON DATA, ANALYTICS, ALERTS, OR AI-GENERATED OUTPUT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRILLINGMETRICS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID TO DRILLINGMETRICS FOR THE APPLICABLE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory asserted and only to the extent permitted by applicable law.
14. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless DrillingMetrics and its affiliates, officers, employees, and contractors from third-party claims, losses, liabilities, and reasonable expenses arising from:
- Your unlawful or unauthorized use of the Services.
- Your material breach of these Terms.
- Customer Data you provide without sufficient rights or authorization.
- Your unauthorized access to another person's or organization's data.
This section may be modified or superseded by an applicable customer agreement.
15. Termination
You may stop using the Services at any time.
DrillingMetrics may suspend or terminate access for material violations of these Terms, unlawful use, security risk, nonpayment, or as otherwise permitted by an applicable customer agreement.
Provisions concerning intellectual property, disclaimers, liability, indemnification, and other provisions that by their nature should survive will remain effective after termination.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Unless a separate customer agreement provides otherwise, any dispute arising from these Terms or the Services will be brought in the state or federal courts located in Bexar County, Texas, and the parties consent to the jurisdiction of those courts.
17. Changes to These Terms
We may update these Terms from time to time. Material changes may be communicated through the Services, by email, or by another reasonable method.
Continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
